{"id":1804,"date":"2009-08-23T18:19:57","date_gmt":"2009-08-24T02:19:57","guid":{"rendered":"http:\/\/hodakvalue.com\/blog\/?p=1804"},"modified":"2009-09-01T05:52:10","modified_gmt":"2009-09-01T13:52:10","slug":"ellison-gives-up-the-one-part-of-his-comp-that-made-some-sense","status":"publish","type":"post","link":"http:\/\/hodakvalue.com\/blog\/ellison-gives-up-the-one-part-of-his-comp-that-made-some-sense\/","title":{"rendered":"Ellison gives up the one part of his comp that almost made sense"},"content":{"rendered":"<p><a href=\"http:\/\/hodakvalue.com\/blog\/?p=1767\">Previously<\/a>, I was wondering out loud what possible retention or alignment benefit Oracle&#8217;s shareholders received from awarding their CEO another 0.007 billion shares on top of the 1.173 billion he already owns.\u00a0 The cost, in the many tens of millions of dollars worth of dilution is impossible to justify.\u00a0 The one part of this compensation I didn&#8217;t criticize was his $1 million salary, which amounted to about 1.2 percent of his total compensation.\u00a0 So, guess which part of this compensation <a href=\"http:\/\/www.sec.gov\/Archives\/edgar\/data\/1341439\/000119312509179868\/ddef14a.htm#toc80117_16\">his toothless board chose to cut<\/a>?<\/p>\n<blockquote><p><em>The compensation committee recognizes that Mr. Ellison has a significant equity interest in Oracle, but believes he should still receive annual compensation because Mr. Ellison plays an active and vital role in our operations, strategy and growth.\u00a0 Nevertheless, during fiscal 2010, Mr. Ellison agreed to decrease his annual salary to $1.<\/em><\/p><\/blockquote>\n<p>At least the disclosure was honest about who was agreeing to what, here.<\/p>\n<p>By the way, Jeffrey Berg, chairman of the compensation committee that once again awarded Mr. Ellison his 7 million options owns a talent agency whose actors have been used in Oracle advertisements.\u00a0 Anyone who watches <a href=\"http:\/\/www.hbo.com\/entourage\/\">Entourage<\/a> can imagine how arms-length that transaction had to be.\u00a0 I wouldn&#8217;t impugn the integrity of the other two comp committee members, Hector Garcia-Molina and Naomi Seligman, but the former is a computer science professor and the latter runs networking organization for CIOs.\u00a0 Not exactly the types who would stand up to Mr. Ellison for the little people who share ownership in his firm.<\/p>\n<p>This composition belies the rebuttal offered by Oracle to the <a href=\"http:\/\/www.sec.gov\/Archives\/edgar\/data\/1341439\/000119312509179868\/ddef14a.htm#toc80117_35\">Say on Pay proposal in their current proxy<\/a>:<\/p>\n<blockquote><p><!--[if !mso]>\n<mce:style><!
