{"id":1386,"date":"2009-06-04T12:48:19","date_gmt":"2009-06-04T20:48:19","guid":{"rendered":"http:\/\/hodakvalue.com\/blog\/?p=1386"},"modified":"2009-06-04T21:15:46","modified_gmt":"2009-06-05T05:15:46","slug":"emprical-evidence-on-say-on-pay","status":"publish","type":"post","link":"http:\/\/hodakvalue.com\/blog\/emprical-evidence-on-say-on-pay\/","title":{"rendered":"Emprical evidence on Say on Pay"},"content":{"rendered":"<p>There has been a lot of talk about Say on Pay, i.e., putting executive compensation packages up for shareholder vote.\u00a0 The U.S. government about to force every public company to submit to this policy.\u00a0 This is considered a corporate governance matter, i.e., something for the putative benefit of the shareholders.\u00a0 Unfortunately, debates over corporate governance policies rarely offer analysis of how the shareholders are actually likely to fare under a given policy.<\/p>\n<p>Jie Cai and Ralph Walking of Drexel University recently published such an <a href=\"http:\/\/papers.ssrn.com\/sol3\/papers.cfm?abstract_id=1342656\">analysis for Say on Pay<\/a>.\u00a0 The results will startle, well, no one.<\/p>\n<p>Basically, they found that firms &#8220;with high abnormal CEO compensation and low pay for performance&#8221; benefit under a Say on Pay regime.\u00a0 If the CEO does not fall into the overpaid camp, Imposing Say on Pay will destroy value for the firm.<\/p>\n<p>So, what is the net effect on shareholders if we impose Say on Pay on <em>every<\/em> public company, where the vast majority of them do <em>not<\/em> have overpaid CEOs?
